Operator: HereNow Labs, Inc., a Delaware corporationThese Terms of Service (“Terms”) govern your access to and use of the here. mobile application, websites, APIs, smart-contract integrations, and related software and services (collectively, the “App”). For purposes of these Terms, “App” includes all functionality that interacts with blockchain networks, device-verification systems, and third-party service providers. By using the App, you agree to be bound by these Terms. If you do not agree, you may not use the App.1. Eligibility and Accounts
You must be at least 18 years old to use the App.
You may not use the App if you are located in, or a resident of, a jurisdiction where use is prohibited, including regions subject to U.S. sanctions.
You are responsible for ensuring compliance with all laws that apply to you.
You are responsible for securing your devices, wallets, and credentials. We do not custody private keys, recover wallets, or reset blockchain access.
We may refuse service, limit features, or revoke access at our sole discretion for any reason or no reason.2. Overview of the App
The App enables users to:
• Capture photos directly in-app (no external uploads)
• Optionally attach device-verified GPS/location data
• Tokenize content on public blockchains (including Solana)
• Display, share, and interact with posts socially
• Earn in-app points without monetary valueDevice-verified presence may be required for specific features. GPS spoofing, tampering, or bypassing authenticity systems is strictly prohibited.3. No Investment, Securities, or Financial Services
The App and digital assets associated with it are not intended for investment or speculative purposes.
Nothing in the App constitutes:
• Investment advice
• A solicitation to buy or sell securities
• A broker-dealer, exchange, payments service, or money transmission activity
• A promise or expectation of profit, appreciation, income, or financial returnWe do not operate as a broker-dealer, exchange, custodial service, wallet provider, investment adviser, or money transmitter.4. Smart-Contract and Blockchain Disclosures
The App may interact with public blockchains and third-party smart contracts.
We do not control or guarantee blockchain networks or third-party systems.
Transactions may be irreversible. On-chain data cannot be modified or removed, even if removed from the App interface.
Digital assets may be illiquid, volatile, or worthless.
You assume all risks relating to blockchain interactions, including loss of private keys, failed transactions, contract errors, and market conditions.5. Fees, Royalties, and Taxes
We may charge fees on mints, interactions, or blockchain events conducted through the App.
Fees may change at any time.
You are responsible for network fees, taxes, and any obligations relating to your activity.
Creators may receive fee shares or royalties, but enforcement and continuation are not guaranteed.6. In-App Points and Rewards
Points awarded through the App:
• Have no monetary or redemption value
• Are not tokens, currency, or equity
• Do not guarantee benefits, priority, or rights
• May be modified, reset, or discontinued without noticeYou agree you do not expect profits or financial returns from points or App participation.7. User Content and Rights
“User Content” includes photos, metadata, usernames, captions, and associated on-chain data.
You represent and warrant that:
• All photos were captured by you in-app at the time and location shown
• You have all rights necessary to submit and tokenize the content
• Content is not AI-generated or synthetic unless clearly labeled
• Content complies with law and does not violate rights of othersBy submitting User Content, you grant HereNow Labs, Inc. a worldwide, royalty-free, transferable, sublicensable license to host, display, reproduce, adapt, distribute, and use your content to operate and promote the App.
License persists for on-chain data; off-chain license ends upon removal subject to technical and legal constraints.
We may remove or restrict content at any time at our sole discretion.8. No Reliance; No Fiduciary Duty
You agree you are not relying on any statements, future roadmap, features, functionality, or expectations of value or performance.
We owe you no fiduciary duties or obligations beyond these Terms.9. Prohibited Conduct
You may not:
• Violate law or rights of others
• Post harmful, exploitative, or illegal content
• Falsify GPS or device data
• Reverse engineer, scrape, interfere with, or abuse the App
• Engage in manipulation, securities-like behavior, or financial schemes
• Tokenize or monetize content you did not create
• Use bots or automated systems without written permissionWe may take any enforcement action we deem necessary, including termination.10. Data Collection and Use
We may collect photos, device identifiers, GPS (if granted), wallet data, usage signals, and fraud-prevention data to operate and secure the App.

Wallets, blockchains, RPC providers, and liquidity sources are third-party systems.
We are not responsible for failures or actions by third parties.12. Experimental Features
The App may include experimental, beta, or research-stage features.
These may change, fail, or be discontinued without notice.
We have no obligation to continue supporting any features or any version of the App.13. Disclaimers and Risk Notice
The App is provided “as is” and “as available.”
We make no warranties of any kind.
You assume all risks associated with blockchain technologies, digital assets, and content interactions.14. Limitation of Liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, punitive, or consequential damages.
Our total liability is limited to one hundred U.S. dollars (US$100).15. Indemnification
You agree to indemnify and hold harmless HereNow Labs, Inc. from claims arising from your use of the App, your content, or your violation of these Terms or law.16. Termination
We may suspend or terminate access at any time for any reason or no reason.
On termination, your right to use the App ends.
On-chain data remains.17. Dispute Resolution
Delaware law governs these Terms.
Except for small-claims or IP matters, disputes are resolved via binding arbitration in Delaware under AAA rules.
Class actions and jury trials are waived.18. Copyright / DMCA

We may restrict display but cannot modify or remove on-chain content.19. Changes and Discontinuation
We may modify, suspend, or discontinue the App or any features at any time without notice.
Continued use constitutes acceptance of revised Terms.20. Miscellaneous
If a provision is invalid, the remainder remains in effect.
Failure to enforce rights is not a waiver.
We may assign these Terms in connection with a merger, sale, or reorganization.21. Contact
